Terms of Service

By accessing or using Acme's platform and services ("Services"), you agree to be bound by these Terms of Service ("Terms"). If you are using our Services on behalf of an organisation, you represent that you have authority to bind that organisation.

If you do not agree to these Terms, do not access or use our Services.

Acme provides a collaborative workspace platform for teams to plan, manage, and execute their work. We reserve the right to modify, suspend, or discontinue any part of the Services at any time with reasonable notice.

You are responsible for:

• Maintaining the confidentiality of your account credentials.
• All activity that occurs under your account.
• Notifying us immediately of any unauthorised access at security@acme.com.

You must be at least 16 years old to create an account. Accounts may not be shared or transferred without our written consent.

You agree not to use the Services to:

• Violate any applicable law or regulation.
• Infringe the intellectual property rights of others.
• Transmit malware, spam, or any harmful code.
• Attempt to gain unauthorised access to any part of the Services.
• Reverse engineer, decompile, or extract source code from the Services.
• Use the Services to build a competing product.
• Harass, abuse, or harm any person.

You retain ownership of all content you create or upload to the Services ("User Content"). By using the Services, you grant Acme a limited, worldwide, royalty-free licence to host, store, process, and display your User Content solely to operate the Services.

You are solely responsible for your User Content. You represent that you have all necessary rights to grant the above licence.

• Paid plans are billed in advance on a monthly or annual cycle.
• All fees are non-refundable except as required by law or stated in our refund policy.
• We reserve the right to change prices with 30 days' notice.
• Failure to pay may result in suspension or termination of your account.
• All prices are in USD unless otherwise stated. Taxes may apply.

The Acme platform, including all software, designs, trademarks, and content created by Acme, is owned by Acme Inc. and protected by copyright, trademark, and other laws. You may not reproduce, distribute, or create derivative works without our express permission.

You may cancel your account at any time from your account settings. We may suspend or terminate your access immediately if you violate these Terms or engage in conduct that we determine is harmful to the Services or other users.

On termination, your right to access the Services ceases immediately. We will retain your data for 30 days after cancellation, after which it will be permanently deleted.

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND. ACME EXPRESSLY DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ACME SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF THE SERVICES. IN NO EVENT SHALL ACME'S TOTAL LIABILITY EXCEED THE AMOUNT YOU PAID ACME IN THE 12 MONTHS PRECEDING THE CLAIM.

These Terms are governed by the laws of the State of California, without regard to conflict of law principles. Any disputes shall be resolved exclusively in the state or federal courts located in San Francisco County, California.
